SECTION 1
Acceptance of terms
By accessing or using the website located at ditch.la (the "Site") or placing an order with Ditch ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or place any orders.
We reserve the right to update these Terms at any time. Changes take effect immediately upon posting. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
SECTION 2
Products and orders
All product descriptions, images, and pricing are subject to change without notice. We reserve the right to limit quantities, refuse orders, or cancel orders at our sole discretion, including orders that appear to be placed by resellers or bots.
We make every effort to display accurate product colors and details, but we cannot guarantee that your device's display will accurately reflect the actual product.
Once an order is placed and confirmed, it cannot be modified or cancelled. Please review your order carefully before completing checkout.
SECTION 3
Pricing and payment
All prices are listed in US dollars and are subject to change without notice. We reserve the right to correct pricing errors at any time, including after an order has been placed.
Payment must be made in full at the time of purchase. We accept payment methods as listed at checkout. By submitting payment information, you represent that you are authorized to use the payment method provided.
We are not responsible for any fees or charges imposed by your bank or payment provider in connection with your purchase.
SECTION 4
Shipping and delivery
We ship to addresses within the United States and select international destinations. Estimated shipping times are provided at checkout and are estimates only — we do not guarantee delivery dates.
Title and risk of loss for products pass to you upon delivery to the carrier. We are not responsible for delays, damage, or loss caused by the carrier once your order has been shipped.
International customers are responsible for all customs duties, taxes, and import fees applicable in their country. We are not responsible for delays caused by customs processing.
SECTION 5
Returns and exchanges
Our return and exchange policy is described separately on our Returns & Exchanges page and is incorporated into these Terms by reference. Items marked Final Sale are not eligible for return or exchange under any circumstances.
SECTION 6
Intellectual property
All content on the Site — including but not limited to the Ditch name, logo, brand identity, graphics, photographs, product designs, text, and software — is the exclusive property of the Company and is protected by United States and international copyright, trademark, and trade dress laws.
You may not reproduce, copy, modify, distribute, sell, or exploit any portion of the Site or its content without our express prior written permission. Any unauthorized use may violate applicable laws and will result in immediate termination of your access to the Site.
Permission is granted to temporarily view materials on the Site for personal, non-commercial use only. This is a limited license, not a transfer of title.
SECTION 7
User conduct
You agree not to use the Site to:
- Violate any applicable law or regulation
- Engage in fraudulent activity, including placing unauthorized orders or chargebacks
- Attempt to gain unauthorized access to any part of the Site or its systems
- Use automated tools, bots, or scrapers to access or collect data from the Site
- Harass, threaten, or harm other users or Company staff
- Post or transmit any content that is unlawful, defamatory, or harmful
We reserve the right to suspend or permanently ban any user who violates these Terms, with or without notice.
SECTION 8
Disclaimer of warranties
The Site and all materials, products, and services provided through it are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
SECTION 9
Limitation of liability
To the fullest extent permitted by applicable law, Ditch and its owners, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or purchase of products, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or your use of the Site shall not exceed the amount you paid to us for the order giving rise to the claim.
SECTION 10
Dispute resolution
Before filing any legal claim, you agree to contact us at contact@ditch.la and provide a written description of the dispute. We will attempt in good faith to resolve the issue within 30 days.
If the dispute cannot be resolved informally, you agree that it shall be resolved through binding individual arbitration administered under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
You may opt out of arbitration by emailing contact@ditch.la within 30 days of first agreeing to these Terms, stating your name and intent to opt out.
SECTION 11
Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
SECTION 12
Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
SECTION 13
Eligibility
By placing an order, you represent and warrant that you have the legal capacity to enter into a binding agreement. Some products and promotions may be subject to additional eligibility requirements as stated at the time of purchase.
